These Terms and Conditions ("Terms") govern your use of zinfinsolutions.com and the general basis on which Zinfin Solutions Private Limited ("Zinfin", "we", "us") provides its services. By using this website or engaging our services, you agree to these Terms.

1. About us

Zinfin Solutions Private Limited is a company registered in India with its office at 1/2 - A56, Opposite to Velammal Engineering College, Viraganur, Madurai, Tamil Nadu 625009. We provide Odoo ERP implementation, customization, migration, integration, support and hosting, as well as AI automation, e-commerce and web and mobile application development to clients in India and worldwide.

2. Use of this website

• You may use this website for lawful purposes only.
• You must not attempt to gain unauthorised access to the website or its systems, introduce malicious code, or disrupt its operation.
• You must not use automated tools to copy or extract content from this website without our written permission.
• Information you submit through our forms must be accurate and must not infringe anyone's rights.

3. Website content and trademarks

All content on this website, including text, design, graphics and logos, belongs to Zinfin Solutions Private Limited or its licensors and is protected by intellectual property laws. You may view and share it for personal or internal business reference, but you may not reproduce or republish it commercially without our permission.

Odoo is a trademark of Odoo S.A. Zinfin Solutions is an independent service provider and is not an official Odoo partner unless stated otherwise. Other product and company names mentioned are trademarks of their respective owners.

4. Our services and agreements

Every engagement is defined in a written proposal, quotation, statement of work or service agreement ("Agreement") that sets out the scope, deliverables, timeline, fees and payment terms. If an Agreement conflicts with these Terms, the Agreement prevails. Work outside the agreed scope is treated as a change request and may be charged separately after your approval.

5. Quotations, fees and payment

• Quotations are valid for the period stated on them, or 30 days if no period is stated.
• Fees are payable as per the milestones and due dates in the Agreement. Work may begin only after the agreed advance is received.
• Fees are exclusive of applicable taxes, including GST for clients in India. International clients pay in the currency agreed in the Agreement and bear their own bank and transfer charges.
• We may pause work if payments are overdue, after giving notice.
• Refunds are handled as described in our Refund & Cancellation Policy.

6. Your responsibilities

• Provide accurate information, timely feedback, approvals and access needed for the project.
• Make key users available for requirement meetings, testing and training.
• Verify migrated data and test deliverables before go-live.
• Hold valid licences or subscriptions for third-party software you choose to use, such as Odoo Enterprise, which is purchased from Odoo S.A. or its resellers.
• Comply with laws that apply to your own business and data, including tax and data protection laws.

7. Intellectual property in deliverables

Unless the Agreement says otherwise, once all fees for a deliverable are paid in full, you receive the right to use, modify and maintain the custom work we created specifically for you. We keep ownership of our pre-existing tools, code libraries, templates and know-how, and grant you a licence to use them as part of the deliverable. Open-source components, including Odoo (LGPL-3), remain subject to their own licences.

8. Third-party software and services

Our solutions often rely on third-party products and services, such as Odoo, cloud servers, payment gateways, messaging platforms and AI providers. Their availability, pricing and terms are set by those providers, and we are not responsible for their outages, changes or discontinuation, although we will help you manage the impact where we can.

9. Confidentiality

Each party will keep the other's confidential information private and use it only for the purpose of the engagement, except where disclosure is required by law.

10. Warranty and support

We perform our services with reasonable skill and care. Any warranty period for fixing defects in delivered work is set out in the Agreement. Ongoing support after the warranty period is provided under an annual maintenance contract (AMC) or a separate support arrangement. Except as expressly stated, our services and this website are provided "as is", without other warranties.

11. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental or consequential losses, including loss of profits, revenue, data or business opportunity. Our total liability arising from any service is limited to the fees you paid for that specific service in the three (3) months before the event giving rise to the claim. You are responsible for maintaining backups of your data unless backup services are included in your Agreement.

12. Indemnity

You agree to indemnify us against claims arising from your misuse of the website or services, your breach of these Terms, or content and data you provide that infringes the rights of others.

13. Termination

Either party may terminate an engagement as set out in the Agreement. On termination, you pay for work completed up to the termination date, and we hand over the work and materials paid for.

14. Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, such as natural disasters, epidemics, government actions, power or internet failures, or third-party service outages.

15. Governing law and jurisdiction

These Terms are governed by the laws of India. Courts at Madurai, Tamil Nadu shall have exclusive jurisdiction over any disputes, unless the Agreement provides otherwise. The parties will first try to resolve disputes amicably through discussion.

16. Changes to these Terms

We may update these Terms from time to time. Changes apply from the date they are posted on this page. Ongoing engagements continue under the terms of their Agreement.
